Price Confidentiality, Limitation of Liability and Dispute Resolution
1. Price confidentiality obligation
- Customers are required to keep confidential the specific transaction prices (especially preferential prices) reached with us.
- Quotes, discount structures or settlement details may not be publicly disclosed to third parties without permission.
2. What to do after price leakage
- We have the right to cancel all price discounts currently enjoyed by customers.
- We have the right to adjust the service price to the official standard selling price announced at the time of the leak.
- We have the right to require the payment of the discount balance since the start of the service.
- We have the right to require the customer to pay liquidated damages.
3. Calculation of liquidated damages
- Liquidated damages are calculated according to the following formula:
(违约发生时官方标价 - 客户签约优惠价)x 客户已租用服务累计月数.- The cumulative number of months is calculated based on 12 months at most.
4. Limitation of Liability
- Except as mandated by law, we are not responsible for indirect losses, including but not limited to loss of profits, loss of business opportunities, data opportunity costs or loss of goodwill.
- In any case, the total amount of compensation we bear for a single incident or similar consecutive incidents shall be capped at the monthly service fee paid by the customer in the most recent billing cycle.
5. Force majeure
- In the event of service interruption or performance degradation due to force majeure (such as major natural disasters, regional network failures, large-scale upstream accidents, government actions), neither party shall bear each other's liability for breach of contract.
- During the force majeure period, both parties shall make reasonable efforts to reduce losses and restore services.
6. Dispute Resolution
- Both parties should first conduct good faith negotiations through work orders, emails or written communications.
- If negotiation fails, the matter shall be submitted to the people's court with jurisdiction over the location of the service provider.
- The Chinese version of these Terms shall prevail.
